Terms of Service

These Terms of Service ("Terms") are an agreement between you and Queer Music Agency ("StageLink", "we", "us"). They cover your use of the StageLink website at stagelink.dev, the StageLink app, artist pages and the other services we provide (together, the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy (https://stagelink.dev/privacy). If you don't agree, don't use the Service.

1. Your account

  • You must be at least 16 years old and able to form a binding agreement to use the Service. If you use it for a company, group or other organisation, you confirm that you have authority to bind it to these Terms, and "you" includes that organisation.
  • You sign in through a supported provider (such as Google). Keep your sign-in secure and turn on two-step sign-in if you can. You're responsible for everything that happens in your account.
  • Give us accurate information and keep your email address current so we can reach you.
  • Tell us right away through the contact form if you think someone has used your account without permission.

2. Workspaces and the people you invite

Your account belongs to a workspace. The workspace owner controls the workspace, including who can join it, what access they have, and whether to delete it. If you invite others, you're responsible for their use of the workspace and for giving them only the access they need.

3. Price

The Service is currently offered free of charge. Some features have usage limits, shown in the Service. If we ever offer paid features, we'll show you the price and any additional terms first, and we'll never charge you unless you agree to pay.

4. Your content

  • It's yours. You keep all rights to the content you add to or create in the Service, such as contacts, mail, shows, documents, files, pictures, music links and your artist page ("Your Content").
  • Permission to run the Service. You give us a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, transmit and display Your Content only as needed to provide, secure and improve the Service for you, and to do what you ask (for example to send an email, publish your artist page or share a link). This licence ends when Your Content is deleted from the Service, except for copies in routine backups until they are overwritten, and content you have already shared or published.
  • Your responsibility. You confirm that you have the rights and permissions needed for Your Content, including any personal information about other people, and that adding it to the Service and using it as you do doesn't break any law or anyone else's rights.
  • Back it up. Keep your own copies of anything important, such as signed contracts. You can download your data from your account settings.

5. Email and messages sent through your accounts

Email, follow-ups, merges, announcements and other messages you send through the Service go out from your own connected accounts, as you. You're responsible for them. Contact only people you have a legitimate reason to contact, follow the email, marketing and privacy laws that apply to you (such as CAN-SPAM and consent rules for mailing lists), and honour unsubscribe and do-not-contact requests. Don't remove or work around the unsubscribe links or do-not-mail list the Service provides. We may limit or pause sending to protect your accounts, the people you write to, and the Service.

6. Connected services

The Service works with third-party services that you choose to connect, such as email, calendar, maps and sign-in providers. Your use of them is also covered by their own terms and policies. We aren't responsible for third-party services, and if one changes or becomes unavailable, features that depend on it may change or stop working.

7. AI features

Some features use artificial intelligence. AI output can be inaccurate, incomplete or unsuitable, so review it before you rely on it, send it or sign it. You're responsible for how you use it. The assistant asks you to confirm before it sends, changes or deletes anything, and the decision is always yours.

8. Not professional advice

Contract templates, deal calculations, routing, financial summaries and similar tools are provided for convenience. Nothing in the Service is legal, tax, financial or other professional advice. Get advice from a qualified professional before relying on anything important.

9. Deals between you and others

The Service helps you find, make and manage bookings and deals, but StageLink isn't a party to them. Contracts, invoices, settlements and payments are solely between you and the venue, promoter, buyer or other party. We don't hold or transfer money for you, and we aren't responsible for whether a show takes place, whether anyone pays, or any dispute between you and others.

10. Public content

You choose what to publish on your artist page and in links you share, and you're responsible for it. Don't publish anything that infringes someone else's rights, is unlawful, or misleads people. We may remove or disable public content that breaks these Terms.

11. Acceptable use

Don't, and don't help anyone else to:

  • send spam or unsolicited bulk messages, or harass, threaten or deceive anyone;
  • break any law or infringe anyone's rights, including privacy, publicity and intellectual property rights;
  • access or try to access other workspaces, other people's data, or our systems without permission, or test our security without our written consent;
  • scrape, copy, resell or redistribute the Service or its shared data (such as the venue directory), or build a competing product from it;
  • overload or disrupt the Service, get around usage limits or rate limits, or use automated means to access it except through features we provide for that purpose;
  • reverse engineer the Service, except where the law allows it despite this restriction;
  • upload malware or anything else meant to harm the Service or its users;
  • use the Service for anything unlawful, harmful or fraudulent.

12. Our rights

The Service, including its software, design, text, graphics and the StageLink name and logo, belongs to StageLink and its licensors and is protected by law. These Terms don't give you any rights to them except to use the Service as these Terms allow. If you send us feedback or suggestions, we may use them without any obligation to you.

13. Changes to the Service

We're always improving the Service. We may add, change or remove features at any time. If we remove a feature you rely on in a significant way, we'll try to tell you in advance. We may also set or change usage limits to keep the Service reliable.

14. Suspension and termination

  • You can stop using the Service at any time. The workspace owner can delete the account and workspace in the account settings.
  • We may suspend or end your access if you break these Terms, if your use puts the Service, other users or others at risk, or if the law requires it. Where reasonable, we'll tell you first and give you a chance to fix the problem or to download your data.
  • When your account ends, your right to use the Service ends, and we'll delete your data as described in the Privacy Policy. Sections that by their nature should survive (such as 4 for content already shared, 8, 9 and 12 to 19) continue to apply.

15. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent the law allows, we make no warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. We don't promise that the Service will be uninterrupted, secure or error-free, that data will never be lost, or that any result (such as bookings, replies or matches) will be achieved.

16. Limitation of liability

To the fullest extent the law allows, StageLink and its owners, employees and suppliers won't be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, bookings, data or goodwill, arising from or related to the Service or these Terms, even if we were told such damages were possible. Our total liability for all claims arising from or related to the Service or these Terms is limited to one hundred US dollars (US$100). Some places don't allow these limits, so they apply to you only as far as the law allows. Nothing in these Terms limits any rights you have under consumer law that can't be limited.

17. Indemnity

To the extent the law allows, you agree to defend, indemnify and hold harmless StageLink and its owners and employees from claims, damages, losses and costs (including reasonable legal fees) arising from Your Content, your use of the Service, the messages you send through it, your deals with others, or your breach of these Terms.

18. Governing law and disputes

These Terms are governed by the laws of the State of New York, USA, without regard to its conflict of laws rules. Any dispute arising from or related to these Terms or the Service will be resolved in the state or federal courts located in New York County, New York, and you and we consent to their jurisdiction. Before filing a claim, you agree to contact us first and try to resolve the dispute informally for at least 30 days.

19. General

  • Changes to these Terms. We may update these Terms from time to time. If we make a material change, we'll tell you in the Service or by email before it takes effect. If you keep using the Service after that, the updated Terms apply. If you don't agree, stop using the Service and delete your account.
  • Entire agreement. These Terms and the Privacy Policy are the whole agreement between you and us about the Service.
  • Severability. If any part of these Terms can't be enforced, the rest stays in effect.
  • No waiver. If we don't enforce a part of these Terms, that doesn't mean we give up the right to do so later.
  • Assignment. You may not transfer these Terms without our consent. We may transfer them as part of a merger, acquisition or sale of assets.
  • Notices. We may send you notices by email or in the Service. You can reach us through the contact form.
